Terms & Conditions

These Terms & Conditions apply to services provided by Task Cart (“Task Cart”, “I”, “me” or “my”) to clients (“you”, “your” or “the client”).

By requesting work from Task Cart and agreeing for that work to proceed, you agree to these Terms & Conditions.

1. About Task Cart

Task Cart provides flexible e-commerce support to businesses, including assistance with online store administration, product management, website content, imagery, search engine optimisation (SEO), reporting, email marketing setup and other agreed e-commerce tasks.

Services are provided on a task-by-task, project or ongoing support basis depending on what has been agreed with you.

2. Requesting Work

You may contact Task Cart with details of the task or support you require.

Before work begins, I may ask for further information to understand the requirements, scope and expected outcome of the task.

Where appropriate, I will confirm the proposed work, estimated cost and/or expected timescale before starting.

Submitting a request does not automatically guarantee that Task Cart can undertake the work. I reserve the right to decline work that falls outside my experience, availability or the services I provide.

3. Quotes & Scope of Work

Any quote or estimate provided will be based on the information available at the time.

The agreed price covers the work described within the agreed scope.

If the requirements change, additional work is requested, or the task turns out to be substantially different from the information originally provided, I will let you know before carrying out significant additional chargeable work.

Additional work may require a revised quote or additional payment.

4. Payment

Payment terms will be confirmed before work begins.

Depending on the type and size of the task, Task Cart may require payment in full before work begins, a deposit followed by a final payment, or payment following completion.

For ongoing support arrangements, separate payment terms may be agreed.

Invoices and payment requests must be paid within the timeframe stated on the invoice or payment request.

Task Cart reserves the right to pause or withhold further work where an outstanding payment is overdue.

Any third-party costs, including Shopify apps, subscriptions, software, advertising spend, stock imagery or other external services, are not included unless specifically stated.

I will not purchase or subscribe to a paid third-party service on your behalf without your agreement.

5. Turnaround Times & Deadlines

I will make reasonable efforts to complete work within any timescale agreed with you.

Any turnaround time provided is an estimate unless I have specifically confirmed that a deadline is guaranteed.

Completion may be delayed if I am waiting for information, content, approval, account access or other materials from you.

I will let you know as soon as reasonably possible if I become aware of an issue that is likely to significantly affect an agreed timescale.

6. Client Responsibilities

You are responsible for providing accurate information and any materials reasonably required to complete the work.

This may include product information, images, prices, login or collaborator access, brand guidelines, written content and instructions.

You are responsible for checking that information you provide is accurate and that you have permission to use any images, logos, text or other materials supplied to Task Cart.

Delays in supplying required information may affect the completion date.

7. Store & Account Access

Some tasks may require temporary access to your Shopify store or other platforms and services.

Where possible, appropriate collaborator, staff or user access should be provided rather than sharing personal passwords.

You should only provide the level of access reasonably necessary for the agreed work.

I will only use access provided by you for the purpose of carrying out the agreed services and will take reasonable steps to keep account information secure.

You remain responsible for maintaining ownership and overall control of your accounts.

You may remove Task Cart's access once the relevant work has been completed.

8. Changes to Your Website or Store

When carrying out website work, I will take reasonable care when making changes.

However, online stores may contain third-party themes, apps, integrations, custom code and other components outside Task Cart's control.

Where appropriate, you should maintain suitable backups or copies of important data and theme files before significant changes are made.

Task Cart is not responsible for faults caused by existing website problems, third-party software, platform outages, incompatible apps, custom code created by other parties or changes made by someone else.

If I identify a task that requires specialist development or expertise outside the agreed service, I may recommend that you use an appropriate developer or specialist.

9. Third-Party Platforms & Services

Task Cart may work with services such as Shopify, email marketing platforms, analytics tools, search engines and third-party apps.

These services are operated independently and are subject to their own terms, pricing and availability.

Task Cart cannot guarantee the continued availability, performance or functionality of third-party platforms and is not responsible for changes, outages or errors caused by those services.

10. SEO, Marketing & Performance

Where Task Cart provides SEO, website optimisation, email marketing, reporting or similar support, I will carry out the agreed work using reasonable care and skill.

However, I cannot guarantee specific search engine rankings, website traffic, sales, revenue, conversion rates or other commercial results.

Search engines, advertising platforms, algorithms, competitors, customer behaviour and other factors outside Task Cart's control can affect performance.

11. Revisions & Additional Requests

Reasonable corrections relating directly to the originally agreed task may be included where appropriate.

Requests that materially change the original brief, introduce new requirements or require substantial additional work may be treated as a new or additional task and may be charged separately.

I will let you know where this applies before proceeding with significant additional work.

12. Cancellations

If you wish to cancel a task, please contact Task Cart as soon as possible.

Where work has already started, you may be charged for work completed up to the point of cancellation.

Payments for work that has already been completed are non-refundable.

Where advance payment has been made and no work has yet started, any refund will be considered according to the circumstances and any costs already incurred.

Any specific cancellation arrangements agreed with you for a larger project or ongoing service will take priority over this general provision.

13. Approval of Work

You are responsible for reviewing completed work and notifying Task Cart of any errors or concerns within a reasonable period.

You should check important information such as product prices, product specifications, promotional information, links and customer-facing content before relying on or publishing it where final approval is required from you.

I will correct genuine errors in my work where reasonably possible.

14. Intellectual Property

Unless otherwise agreed, once full payment has been received, you may use the final content, graphics or other deliverables created specifically for your business as part of the agreed work.

You remain responsible for ensuring that materials you supply to Task Cart can legally be used.

Third-party materials, software, fonts, stock imagery, apps and other licensed assets remain subject to their respective licences and terms.

15. Confidentiality

I will treat non-public business information provided in connection with your work as confidential and will not intentionally disclose it to third parties except where necessary to provide the agreed service, where you have authorised disclosure, or where disclosure is required by law.

16. Liability

Task Cart will provide services with reasonable care and skill.

To the extent permitted by law, Task Cart will not be liable for indirect or consequential losses, loss of profits, loss of revenue, loss of business opportunities or losses resulting from matters outside my reasonable control.

Nothing in these Terms & Conditions excludes or limits liability where doing so would be unlawful.

17. Ending Ongoing Services

Either you or Task Cart may end an ongoing working arrangement by giving reasonable notice, unless a different notice period has been agreed.

You remain responsible for payment for work completed and any agreed costs incurred before the arrangement ends.

Any outstanding invoices remain payable.

18. Changes to These Terms

These Terms & Conditions may be updated from time to time to reflect changes to Task Cart's services or business practices.

The version applicable to your work will normally be the version in effect when the relevant work is agreed.

19. Governing Law

These Terms & Conditions are governed by the laws of England and Wales.

Any disputes relating to these Terms & Conditions will be subject to the jurisdiction of the courts of England and Wales, subject to any rights that cannot legally be excluded.
